STANDARD TERMS AND CONDITIONS


  1. OVERVIEW

This website and online store are operated by Dental Supply Solutions, LLC, also identified in these Terms as Dental Supply Solutions, Inc. and as “Dental Supply Solutions,” “we,” “us,” or “our.” Dental Supply Solutions provides this website and its related information, content, features, tools, products, and services (collectively, the “Services”). The Services are powered and hosted by Odoo.com.

  4. These Terms and Conditions, together with our Privacy Policy, Refund Policy, and any other policies referenced on this website (collectively, the “Terms”), govern your access to and use of the Services. By accessing or using the Services or purchasing from us, you agree to these Terms. If you do not agree, do not access or use the Services. These Terms include important provisions concerning warranty disclaimers, limitations of liability, and indemnification.

  6. 1. ELIGIBILITY, ACCOUNTS, AND LAWFUL USE
  7. You represent that you are at least the age of majority in your state or province of residence. If you permit a minor dependent to use the Services on a device you own, purchase, or manage, you consent to that use.

Colors, images, appearance, and other details may vary based on your device and its settings, and we do not warrant that a product’s appearance or quality will meet your expectations or exactly match its online depiction.

  16. Product descriptions, availability, quantities, prices, and offerings may change without notice. We may limit sales by customer, household, account, payment method, address, geographic region, or jurisdiction; discontinue products or Services; modify or suspend any part of the Services; and refuse service where permitted by law. Offers are void where prohibited.

  18. 3. ORDERS, PAYMENT, AND BILLING

Please review your order before submitting it because we may be unable to accommodate cancellation requests after acceptance.   21. Prices, discounts, and promotions may change without notice. The price charged will be the price in effect when the order is placed and will appear in the order confirmation. Unless expressly stated otherwise, prices exclude taxes, shipping, handling, customs, and import charges. Online prices may differ from prices offered through physical stores or third parties. Separate promotional terms control if they conflict with these Terms.

You represent that the payment information you provide is accurate and complete, that you are authorized to use the payment method, and that you will pay all applicable charges, including shipping, handling, and taxes. Purchases may be returned or exchanged only as provided in our Refund Policy.

  25. 4. SHIPPING AND DELIVERY
  26. Delivery dates are estimates and are not guaranteed. We are not responsible for delays caused by carriers, customs processing, or events outside our control. Title and risk of loss pass to you when products are transferred to the carrier.

The Services and their trademarks, brands, text, displays, images, graphics, reviews, video, audio, design, selection, and arrangement are owned by Dental Supply Solutions, its affiliates, or its licensors and are protected by U.S. and foreign intellectual-property laws. The Dental Supply Solutions names, logos, product and service names, designs, and slogans are trademarks of Dental Supply Solutions or its affiliates or licensors. Odoo.com’s names, logos, product and service names, designs, and slogans belong to Odoo.com. Other names and marks belong to their respective owners.

  31. You may use the Services only for personal, noncommercial purposes. Without our prior written consent, you may not reproduce, distribute, modify, create derivative works from, publicly display or perform, republish, download, store, transmit, sell, resell, or otherwise exploit the Services or their content. No license or other intellectual-property right is granted except as expressly stated. All rights not expressly granted are reserved.

  33. 6. THIRD-PARTY TOOLS, LINKS, AND ODOO.COM
  34. The Services may include third-party tools, content, links, or embedded functionality that we do not control or monitor. They are provided “as is” and “as available,” without endorsement, representation, warranty, or condition. Your use of them is at your own risk and is subject to the applicable third party’s terms and policies. We are not responsible for third-party content, websites, products, services, transactions, losses, or damages. Questions or complaints concerning a third party should be directed to that third party. New tools, resources, features, and Services are also subject to these Terms.

  36. Odoo.com provides the e-commerce platform used to deliver the Services, but purchases are made directly from Dental Supply Solutions. Odoo.com is not responsible for sales between you and Dental Supply Solutions or for injury, damage, or loss arising from purchased products or services. To the fullest extent permitted by law, you release Odoo.com and its affiliates from claims, damages, and liabilities related to your purchases and transactions with Dental Supply Solutions.

  38. 7. PRIVACY
  39. Personal information collected through the Services is governed by our Privacy Policy, available through the website. Because Odoo.com hosts the Services, it collects and processes information concerning your access to and use of the Services. Information submitted through the Services may be transmitted to and shared with Odoo.com and service providers located outside your country of residence. Review our Privacy Policy for additional information about how Dental Supply Solutions, Odoo.com, and our partners handle personal information.

  41. 8. FEEDBACK AND USER SUBMISSIONS

If you submit ideas, suggestions, feedback, reviews, proposals, plans, comments, or other content (“Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, translate, and display that Feedback in any medium for any purpose, including commercial purposes. We have no obligation to keep Feedback confidential, pay compensation, or respond.

  44. You represent that you own or have the necessary rights to your Feedback, have disclosed any related compensation or incentives, and will comply with these Terms. Feedback must not violate third-party rights, contain unlawful, abusive, obscene, defamatory, or malicious material, or misrepresent its source. You are responsible for your Feedback and its accuracy. We may monitor, edit, or remove Feedback but are not obligated to do so, and we assume no liability for Feedback submitted by you or another person.

The Services may contain typographical errors, inaccuracies, or omissions involving product descriptions, prices, promotions, offers, shipping charges, transit times, availability, or other information. We may correct errors, update information, or cancel orders at any time without prior notice, including after an order is submitted. Except as required by law, we have no obligation to update, amend, or clarify information.

  50. We may terminate these Terms or suspend or terminate your access to all or part of the Services at any time, without notice, in our discretion. You remain liable for amounts due through the termination date. You may stop using the Services at any time. Provisions that by their nature should survive termination will remain effective, including provisions concerning intellectual property, Feedback, disclaimers, limitation of liability, indemnification, severability, waiver, entire agreement, assignment, governing law, and privacy.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES, INFORMATION, AND PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES OR THEIR RESULTS WILL BE ACCURATE, COMPLETE, RELIABLE, USEFUL, UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME EXCLUSIONS MAY NOT APPLY TO YOU.

  55. 12. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, DENTAL SUPPLY SOLUTIONS; ITS PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, INTERNS, SUPPLIERS, SERVICE PROVIDERS, SUBCONTRACTORS, AND LICENSORS; AND ODOO.COM AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, REVENUE, SAVINGS, OR DATA, REPLACEMENT COSTS, OR SIMILAR DAMAGES, ARISING FROM OR RELATED TO THE SERVICES, PRODUCTS PURCHASED THROUGH THE SERVICES, CONTENT, ERRORS, OMISSIONS, SUSPENSION, OR INABILITY TO USE THE SERVICES, WHETHER BASED IN CONTRACT, TORT, INCLUDING NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY. WHERE A JURISDICTION DOES NOT ALLOW AN EXCLUSION OR LIMITATION, LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

  58. 13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Dental Supply Solutions, Odoo.com, and their respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, suppliers, subcontractors, interns, and service providers from third-party claims, losses, damages, liabilities, and reasonable attorneys’ fees arising from your breach of these Terms or incorporated policies, your violation of law or third-party rights, or your access to and use of the Services. We will notify you of an indemnifiable claim; delayed notice will relieve you of your obligations only to the extent you are materially prejudiced. We may control the defense and settlement at your expense, including selection of counsel, but will not settle a claim requiring nonmonetary obligations from you without your consent, which may not be unreasonably withheld. You will cooperate in the defense, including by providing relevant documents.

  61. 14. GENERAL TERMS
  62. If any provision is unlawful, void, or unenforceable, it will be enforced to the fullest extent permitted and the unenforceable portion will be severed without affecting the remaining provisions. Our failure to enforce a right or provision is not a waiver.

These Terms and the policies or operating rules posted on the website constitute the entire agreement concerning the Services and supersede prior or contemporaneous oral or written agreements, communications, and proposals. Ambiguities will not be construed against the drafting party. Headings are for convenience only.

  66. You may not delegate, transfer, or assign these Terms or your rights or obligations without our prior written consent; any attempted assignment is void. We may transfer, assign, or delegate these Terms and our rights and obligations without your consent or notice.

These Terms and any separate agreements through which we provide Services are governed by the applicable federal and state or territorial law in the jurisdiction where Dental Supply Solutions is headquartered. You and Dental Supply Solutions consent to personal jurisdiction and venue in the federal and state or territorial courts located in that jurisdiction.

  70. 15. CHANGES TO THESE TERMS
  71. The current version of these Terms is available on this page. We may update, change, or replace any part of these Terms by posting revisions on the website. We will provide notice of material changes as required by applicable law, and those changes will take effect on the date stated in the notice. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
